Terms of Service

1. Overview

These Terms of Service ("Terms") govern your access to and use of Sterata ("Sterata", "we", "our", or "us").

By accessing or using Sterata, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organisation.


2. Services Provided

Sterata is a marketing technology platform that enables users to:

  • Connect third-party advertising and marketing platforms

  • View and analyse campaign performance

  • Manage and optimise advertising activity

  • Generate marketing content, recommendations, and insights using artificial intelligence

  • Store and organise marketing assets and campaign information

We may update, modify, suspend, or discontinue features at any time.


3. Account Responsibility

You are responsible for:

  • Maintaining the security of your account

  • Keeping login credentials confidential

  • All activity occurring under your account

  • Ensuring information provided to Sterata remains accurate and current

You must notify us immediately if you believe your account has been compromised.


4. Third-Party Integrations

Sterata integrates with third-party services including advertising, analytics, and marketing platforms.


By connecting a third-party account, you:

  • Authorise Sterata to access information through approved APIs

  • Confirm you have authority to grant such access

  • Agree to the terms and policies of the relevant third-party provider


Sterata is not responsible for:

  • Changes to third-party APIs or services

  • Platform outages or disruptions

  • Suspension of third-party accounts

  • Data inaccuracies originating from third-party platforms


5. Acceptable Use

You agree not to:

  • Use Sterata for unlawful, misleading, or fraudulent purposes

  • Attempt unauthorised access to systems, accounts, or data

  • Interfere with platform security or performance

  • Upload malicious software or harmful code

  • Use the platform in a manner that negatively affects other users

We may suspend or terminate accounts that violate these Terms.


6. Data Ownership and Usage

You retain ownership of all data, content, and assets you upload to Sterata.

You grant Sterata a limited licence to:

  • Process your data to provide services

  • Store and analyse advertising and marketing data

  • Generate reporting, recommendations, and insights

  • Operate and improve the platform

Sterata does not sell customer data.


7. Artificial Intelligence Features

Sterata may provide AI-generated recommendations, content, insights, forecasts, or campaign suggestions.

AI-generated outputs:

  • Are provided for informational purposes only

  • May contain inaccuracies or errors

  • Should be reviewed before use

  • Do not constitute professional marketing, legal, financial, or business advice

You remain solely responsible for decisions made using AI-generated outputs.


8. Platform Availability

We aim to provide a reliable service but do not guarantee:

  • Continuous availability

  • Error-free operation

  • Uninterrupted access

  • Compatibility with all third-party services

Temporary interruptions may occur due to maintenance, upgrades, technical issues, or third-party service disruptions.


9. No Guarantee of Results

Sterata provides tools, automation, analytics, and recommendations.

We do not guarantee:

  • Lead generation

  • Sales outcomes

  • Return on advertising spend

  • Campaign performance

  • Business growth

Marketing results depend on numerous factors beyond our control.


10. Fees, Subscriptions and Billing

If you subscribe to a paid plan:

  • Fees are billed in advance on a recurring basis

  • You authorise us to charge your selected payment method

  • Failure to pay may result in suspension or termination of access

Unless otherwise required by law, subscription fees are non-refundable.

We may change pricing with reasonable notice.


11. Beta Features

Sterata may offer experimental, beta, preview, or early-access features.

These features:

  • May contain bugs or errors

  • May be modified or removed without notice

  • Are provided without guarantees regarding performance or reliability

Use of beta features is at your own risk.


12. Intellectual Property

Sterata and all associated software, branding, designs, and platform content are owned by Sterata or its licensors.

These Terms do not grant ownership rights in the platform.

You may not:

  • Copy

  • Reverse engineer

  • Modify

  • Resell

  • Redistribute

    any part of the platform except as permitted by law.


13. Limitation of Liability

To the maximum extent permitted by law, Sterata is provided on an "as is" and "as available" basis.

Sterata will not be liable for:

  • Loss of profits

  • Loss of revenue

  • Loss of business opportunities

  • Loss of advertising performance

  • Loss of data

  • Indirect, incidental, special, or consequential damages

Your use of Sterata is at your own risk.


14. Indemnity

You agree to indemnify and hold harmless Sterata, its owners, employees, contractors, and affiliates from claims, damages, liabilities, and expenses arising from:

  • Your use of the platform

  • Your breach of these Terms

  • Your violation of applicable laws or third-party rights


15. Termination

You may stop using Sterata at any time.

We may suspend or terminate access if:

  • You breach these Terms

  • Required fees remain unpaid

  • Your use creates legal, security, or operational risks

Upon termination:

  • Access to the platform may be revoked immediately

  • Data may be deleted in accordance with our Privacy Policy


16. Privacy

Your use of Sterata is also governed by our Privacy Policy, which explains how we collect, store, process, and protect personal information.


17. Changes to These Terms

We may update these Terms from time to time.

Where material changes are made, we may notify users through the platform or by email.

Continued use of Sterata after changes become effective constitutes acceptance of the updated Terms.


18. Governing Law

These Terms are governed by the laws of New Zealand.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
